1.

By enrolling in WBI's WEBRINGIT MEMBER AREA Service, you become a Member and Subscriber and agree to be bound by this Agreement. This agreement is subject to change by WBI Associates, LLC (WBI) at any time, and changes are effective upon notice to each Subscriber.

Subscription fees are non-refundable.

3.

WBI reserves the right to refuse membership on any grounds whatsoever without reason.

4.

A subscription may not be assigned or transferred to any other person or entity. A subscriber must promptly inform WBI of the following: changes in home or billing address; changes of email address or internet provider; apparent breaches of security, such as loss, theft, or unauthorized disclosure or use of an ID or password. Until WBI is notified, by email, or by telephone at 530-306-8641 of a breach in security, the Subscriber will remain liable for any unauthorized use of the WEBRINGIT MEMBER AREA Service.

5.

Subscription to the WEBRINGIT MEMBER AREA may be terminated at any time and without cause by the Subscriber upon notification of WBI by electronic or conventional mail, or by telephone. Subscription fees are NOT refunded.

6.

Subscription to the WEBRINGIT MEMBER AREA may be terminated at any time by WBI without notification of the customer, if the subscriber violates this contract, especially if the Subscriber illegally trades, rents or advertises his ID or password or if the Subscriber misuses the WEBRINGIT MEMBER AREA Service and violates basic rules, especially if the Subscriber submits or publishes or displays any defamatory, inaccurate, abusive, threatening, racially offensive, indecent, unauthorized or illegal material on the WEBRINGIT MEMBER AREA SERVER or if the Subscriber misuses one of the public bulletin boards for commercial advertising. When termination is due because of violation of this contract, subscription fees are NOT refunded. WBI reserves its rights to take legal action against a Subscriber who violates the agreement, esp. if basic rules of that agreement were significantly violated.

7.

Password trading is not permitted under the terms of the Subscriber's membership. WBI controls all access to the WEBRINGIT MEMBER AREA by the Subscriber's IP-address.  The Subscriber is allowed to use the WEBRINGIT MEMBER AREA Service with only one internet provider of his choice. The Subscriber must tell WBI if and when he will change his Internet Provider. If multiple accesses by one user ID are detected from different sources, the ID and the subsequent password will be deemed to have been illegally traded and the server account will be terminated without refund. The same will happen if one user ID attempts to access from two or more different sources at once.

8.

If WBI determines that two different users are using the same password, WBI will discontinue that access immediately, refuse all future orders for membership from those IP-addresses WBI believes to have used them and WBI reserves the right to take legal action against the password owner.

9.

Subscribers are responsible for providing all personal computer and communications equipment necessary to gain access to the WEBRINGIT MEMBER AREA SERVER. Access to and use of the Service is through a combination of an ID and a password. Each Subscriber must keep his password strictly confidential. For security reasons, WBI will not release passwords for any reason, exceptions may be specifically required by law or court order. Unauthorized access to the Server is a breach of this Agreement and a violation of law.

10.

Any liability of WBI including without limitation any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of records, whether for breach of contract, tortuous behavior, negligence, or under any other cause or action, shall be strictly limited to the amount paid by or on behalf of the subscriber to WBI for the time the Subscriber is (was) a Member and Subscriber.

11.

No warranty is made by WBI regarding any information, services, or products provided through or in connection with the WEBRINGIT MEMBER AREA Service, and WBI hereby expressly disclaims any and all warranties, including without limitation any warranties as to the availability, accuracy, or content of information, products, or services and any warranties of merchantability or fitness for a particular purpose.

12.

Technical and hardware problems may occur from time to time and WBI will always try to solve those within its competence as soon as possible, especially server failure. However, WBI cannot take responsibility for problems outside its direct control (i.e. providers or telephone companies) and WBI is unable to refund subscriptions. If technical failings within WBI's control exceed more than 7 full days of any one calendar month, WBI will adjust the expiration dates of all current memberships to one month later than booked. NO cash refunds will be made under any circumstances.

13.

Membership will entitle the Subscriber to view and to download photos and movies for his own use and to upload personal non-commercial advertisements only. This membership is not transferable. Use by persons other than the Subscriber will result in a cancellation of his membership. Under no circumstances should the Subscriber allow the material and images to be viewed by minors.

14.

Except for electronic messages, all material produced and distributed by WBI, whether through the WeBringIt Member Area or other means is the intellectual property of WBI and remains its copyright. All rights are reserved by WBI. WBI gives limited permission to Registered Members of the WeBringIt Member Area to download once only the pages for which they have registered for their sole personal use. Other copying, sale, hiring, lending, public performance, broadcasting, redistribution, or other reproduction, in whole or in part, is prohibited without specific written authorization from WBI.

15.

The material on the Service is for the private, non-commercial enjoyment of Subscribers only. Any other use is prohibited.

16.

From time to time WBI enables Subscribers to share information with, and to communicate with other Subscribers. Subscribers agree NOT to submit, publish, or display on the Server any defamatory, inaccurate, abusive, threatening, racially offensive, indecent or illegal material or information. Subscribers agree NOT to submit, publish or display on the Server any commercial advertisements. Transmission of such material and/or material that violates any federal, state, or local law is prohibited and is a significant breach of this Agreement.

17.

Subscribers are responsible for any and all information they send, or display through the WEBRINGIT MEMBER AREA Service even if a claim should arise after termination of service.

There are no facilities provided by the WEBRINGIT MEMBER AREA Service for sending or receiving private or confidential electronic communications. All messages shall be deemed to be readily accessible to the general public. Do not use the WEBRINGIT MEMBER AREA for any communication for which the sender intends only the sender and the intended recipient(s) to read. Notice is hereby given that all messages entered into this WEBRINGIT MEMBER AREA can and may be read by the operators of the Service, whether or not they are the intended recipient(s). WBI reserves the right to censor and/or to delete any messages and emails sent to the WBI WEBRINGIT MEMBER AREA SERVER, without notification of the Subscriber and without any cause or reason whatsoever.

19.

Notices by WBI to Subscribers may be given by means of electronic messages through the WEBRINGIT MEMBER AREA, by a general posting on the service, or by conventional mail. Notices by Subscribers may be given by electronic messages or conventional mail, unless otherwise specified in the Agreement.

20.

All questions, complaints, or notices to WBI by means of electronic message must be sent to customerservice@WeBringIt.com.

21.

The subscriber hereby warrants and represents that he or she is over the age of 18, and in all respects is qualified and competent to enter into this agreement, and that viewing and using the adult material presented on the WBI WEBRINGIT MEMBER AREA SERVER does not offend the Subscriber’s local laws.

22.

This Agreement contains the entire agreement between the Subscriber and WBI regarding the use of the WEBRINGIT MEMBER AREA, and supersedes all prior written and oral understandings and writings, and may only be amended upon notice by WBI to Subscribers. Unless otherwise explicitly stated, the provisions of this Agreement shall survive its terminations.
